Advice needed:

Last night, an e-mail was sent to all board members of the alum association stating that the votes were in and the overwhelming majority had voted yes to me and my plans.  My suspicion is that the troublemaker gal is furiously at home trying to find the bylaws so she can attempt to nullify the vote.  Since I've been told the bylaws were suspended years ago and since for the last five years I as a board member have never been asked to vote on anything (if there are bylaws then there are bylaws and they can't be used when everyone feels like it and not used when they don't), I'd assume she either won't find them or that it won't matter.

The question is should I write a brief note to everyone thanking them and saying positive things about what we hope to achieve?  Basically saying that I'm acknowledging the vote and that we'll now begin our restructuring.

It was retitled just Lear since Lear was being played by a woman.

Now, if that production were playing on Long Island, they could've gotten Carrie Fischer to play the title role in her honey-bun hairdoo and turned it into a Star Wars convention.

Well, since you're asking, bk-

I vote with JRand56: much cleaner to start your own org.  Take those you want from the old group who are willing to join you.  Let the old die from attrition.  No mess.  The only downside would be that those rebel few might be re-energized to fight back, but they might do that anyway.  imho.

I am not familiar with CA open meeting laws but the troublemaker does not have a leg to stand on. With the bylaws null and void he could create a new group from the old one and choose his people.

It was discussed with the head of the theatre department, who felt having two organizations would be too confusing for the LACC foundation, of which the alum association is an adjunct (and therefore get to use their non-profit status, which is very important for fund raising).  Had the vote gone differently, I might have.

But, they can't have it both ways - there are bylaws or there aren't and it can't be at their whim - and since they've simply been operating without them for so long (at some point years ago there was a vote to "suspend" the bylaws), the vote was not only for me to take over, but for me to be able to completely restructure the organization the way I want.  Hence, I think when that is all figured out, there will be a new set of bylaws.  But, for now (and all voters knew this going in), I am the president, and I am about to choose a governing board - the current board members are no longer part of it, but if they want to stay and help they can be part of what we'll call our advisory committee.

I did write the note acknowledging the vote, stated my aims simply, said that I was not an autocrat, and that everyone's input would be welcome, but that in me they've got a leader who's going to make things happen.

bk, if they are a nonprofit, they have to have bylaws filed somewhere. If they don't, their goose is cooked.

I will admit I am not familiar with CA law,  but from my experiences in working with a non-profit in ND we had to have bylaws and a letter of certification filed with the state of ND to certify we were non-profit. That was a challenge to get those ducks in a row.

THus, you have carte blanche to form a new organization or reform it and institute a new set of bylaws. If LACC cannot prove that they have bylaws filed with them or the state, the Alumni group is technically null and void and is not operating within the law.  Perhaps Cilla could provide more insight but I am not sure what her specialization in law is.
